Terms and Conditions

Last Updated: October 20, 2026

These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you,” “your,” or “User”) and American Negotiation Institute, LLC (“ANI,” “we,” “us,” or “our”) governing your access to and use of Elevate Academy at https://elevateacademy.learnworlds.com/ and all related courses, subscriptions, memberships, live sessions, tools, and content (collectively, the “Services”).

By creating an account, making a purchase, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

1.1 You must be at least 18 years old, or the age of majority where you live, to create an account or make a purchase.

1.2 You agree to provide accurate, current, and complete information and to keep it updated.

1.3 Your account is for your individual use only. You may not share your login credentials or allow anyone else to access your account. We may suspend or terminate accounts that show signs of shared access.

1.4 You are responsible for all activity that occurs under your account.

2. The Services

2.1 The Services may include self-paced courses, subscriptions, memberships, live or recorded sessions and workshops, downloadable resources, certificates of completion, and AI-powered tools.

2.2 We may modify, update, reorganize, or discontinue any part of the Services, including course content, formats, and features, at any time. Such changes do not entitle you to a refund.

2.3 Access to purchased content is provided for the period stated at the time of purchase. If no period is stated, access continues for as long as we offer the content on the platform, subject to these Terms.

3. Purchases and Payment

3.1 All prices are listed in U.S. dollars unless otherwise stated and do not include applicable taxes, which you are responsible for paying.

3.2 By submitting payment, you represent that you are authorized to use the payment method provided and authorize us and our third-party payment processors to charge the full amount, including any applicable taxes and recurring fees.

3.3 Where offered, payment plans are binding commitments to pay the full purchase price. If you stop paying, miss a payment, or cancel a payment plan, you remain obligated to pay the remaining balance, and we may suspend your access until the balance is paid in full.

3.4 We reserve the right to change prices at any time. Price changes do not affect purchases already completed.

3.5 Promotional pricing, discounts, and coupon codes apply only as stated and cannot be applied retroactively to previous purchases.

4. Subscriptions, Memberships, and Auto-Renewal

4.1 Subscription and membership plans renew automatically at the end of each billing period at the then-current rate until you cancel. The billing period and renewal price are shown at checkout.

4.2 You may cancel at any time through your account settings or by emailing support@americannegotiationinstitute.com. Cancellation stops future billing only. You will keep access through the end of your current paid billing period.

4.3 We do not provide refunds, credits, or prorated amounts for partial billing periods, unused time, or unused content.

4.4 Where offered, free trials convert automatically to paid subscriptions or memberships at the end of the trial period unless you cancel before the trial ends. Trial availability, length, and eligibility are determined by ANI and may vary by offer.

5. No Refund Policy

5.1 ALL SALES ARE FINAL. ANI DOES NOT OFFER REFUNDS, CREDITS, OR EXCHANGES FOR ANY PURCHASE, INCLUDING COURSES, SUBSCRIPTIONS, MEMBERSHIPS, PAYMENT PLANS, LIVE SESSIONS, WORKSHOPS, BUNDLES, AI TOOLS, OR DIGITAL PRODUCTS.

5.2 Because our Services consist of digital content and services that are made available immediately upon purchase, you acknowledge and agree that you receive the benefit of your purchase at the time access is granted, whether or not you choose to use it.

5.3 Refunds will not be issued for any reason, including but not limited to: change of mind, non-use or partial use of the Services, dissatisfaction with content or results, scheduling conflicts, failure to attend live sessions, technical issues on your end, purchase of the wrong product, failure to cancel a subscription or free trial before renewal, or termination of your account for violation of these Terms.

5.4 If you are charged in error, such as a duplicate charge, email support@americannegotiationinstitute.com within 30 days and we will correct the billing error.

5.5 Consumers in the European Union, United Kingdom, and other jurisdictions with statutory withdrawal rights: By completing your purchase, you expressly request immediate access to digital content and acknowledge that you lose your right of withdrawal once access begins.

5.6 Nothing in this Section limits any non-waivable rights you may have under applicable law.

6. Chargebacks and Payment Disputes

6.1 You agree to contact us at support@americannegotiationinstitute.com to resolve any billing concern before initiating a chargeback or payment dispute with your bank or card issuer.

6.2 If you initiate a chargeback for a purchase made in accordance with these Terms, we may immediately suspend or terminate your access to all Services, contest the chargeback using records of your purchase, account activity, and acceptance of these Terms, and pursue recovery of amounts owed plus reasonable collection costs.

7. Intellectual Property and License

7.1 All content in the Services, including videos, text, graphics, frameworks, worksheets, templates, recordings, audio, software, trademarks, and logos, is owned by ANI or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Upon purchase, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the content for your own personal or professional development, subject to these Terms.

7.3 You may not, without our prior written consent:

  • copy, reproduce, download (except where we provide a download option), record, or redistribute any content;
  • share, resell, sublicense, or publicly display content;
  • use content to create courses, trainings, workshops, or products for others;
  • use content or AI tool output to train, fine-tune, or build any artificial intelligence or machine learning model;
  • remove copyright or proprietary notices.

7.4 Violation of this Section immediately terminates your license and access without refund, and we may pursue all available legal remedies.

8. Live Sessions and Workshops

8.1 Where offered, dates, times, facilitators, and formats of live sessions are subject to change. If we cancel a session, we will provide a rescheduled session, recording, or comparable access at our discretion.

8.2 Missed live sessions are not eligible for refunds or credits.

8.3 Live sessions may be recorded. By participating, you consent to being recorded and to our use of the recording for educational and operational purposes. You may keep your camera off and use a display name if you prefer not to appear.

8.4 You may not record live sessions without our written permission.

9. Ask Kwame AI and Other AI Tools

9.1 Certain Services, including Ask Kwame AI, use artificial intelligence to generate responses. Ask Kwame AI is powered by Delphi.ai, a third-party provider, and is embedded within the Services.

9.2 AI-generated output may be inaccurate, incomplete, or unsuitable for your situation. Output is provided for educational purposes only, does not represent the personal advice of Kwame Christian or any ANI team member, and should be independently evaluated before you rely on it.

9.3 You are solely responsible for how you use AI output. Do not submit confidential, sensitive, or personal information about third parties that you are not authorized to share.

9.4 Information you submit to AI tools is processed by Delphi.ai and is subject to its terms and privacy practices in addition to ours.

9.5 We may modify, limit, or discontinue AI tools at any time without refund.

10. Feedback and Testimonials

10.1 Any feedback, suggestions, or ideas you provide about the Services may be used by ANI without obligation or compensation to you.

10.2 Testimonials you submit may be used by ANI in marketing materials with your name and likeness unless you request otherwise in writing at support@americannegotiationinstitute.com.

11. Certificates

Certificates of completion confirm that you completed the course requirements on our platform. Certificates do not represent accreditation, licensure, or continuing education credit from any governing body.

12. Educational Purpose and No Guarantee of Results

12.1 The Services are provided for educational and informational purposes only. They do not constitute legal, financial, employment, psychological, or other professional advice.

12.2 Your results depend on many factors outside our control, including your effort, circumstances, and the other parties involved. WE DO NOT GUARANTEE ANY SPECIFIC OUTCOME, INCLUDING INCREASED COMPENSATION, SUCCESSFUL NEGOTIATIONS, PROMOTIONS, OR BUSINESS RESULTS. Any examples or testimonials reflect individual experiences and are not typical or guaranteed.

13. Third-Party Services

The Services are hosted on LearnWorlds and use third-party providers, including Delphi.ai, payment processors, video hosting, and communication tools. Your use of those services may be subject to their terms. We are not responsible for third-party services, outages, or errors.

14. Acceptable Use

You agree not to use the Services to violate any law, infringe anyone’s rights, upload malicious code, interfere with the platform, attempt unauthorized access to any account or system, scrape or extract content by automated means, or harass ANI staff or other users.

15. Termination

15.1 We may suspend or terminate your access to any or all Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or initiated an improper chargeback.

15.2 Termination for any reason does not entitle you to a refund.

15.3 Sections that by their nature should survive termination will survive, including Sections 3, 5, 6, 7, 9, and 12 through 21.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ANI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ANI AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES. ANI’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO ANI IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

18. Indemnification

You agree to defend, indemnify, and hold harmless ANI and its owners, officers, employees, contractors, and agents from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Services or your violation of these Terms or any law.

19. Dispute Resolution and Governing Law

19.1 Informal Resolution. Before filing any claim, you agree to email support@americannegotiationinstitute.com with a description of the dispute and attempt to resolve it informally for at least 30 days.

19.2 Binding Arbitration. Any dispute arising from or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Columbus, Ohio, or by video conference. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court if it qualifies.

19.3 Class Action Waiver. YOU AND ANI AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

19.4 Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ANI WAIVE ANY RIGHT TO A JURY TRIAL.

19.5 Opt-Out. You may opt out of arbitration by emailing support@americannegotiationinstitute.com within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and your name and account email.

19.6 Governing Law and Venue. These Terms are governed by the laws of the State of Ohio and the Federal Arbitration Act, without regard to conflict of law principles. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Franklin County, Ohio.

19.7 Time Limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

20. Privacy

Your use of the Services is also governed by our Privacy Policy, available on Elevate Academy, which is incorporated into these Terms.

21. General Provisions

21.1 Changes to Terms. We may update these Terms at any time by posting the revised version with a new “Last Updated” date. Continued use of the Services after changes are posted constitutes acceptance. Changes do not apply retroactively to disputes arising before the update.

21.2 Entire Agreement. These Terms and our Privacy Policy are the entire agreement between you and ANI regarding the Services.

21.3 Severability. If any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. If the class action waiver in Section 19.3 is found unenforceable, the arbitration agreement in Section 19.2 is void for that claim.

21.4 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

21.5 Assignment. You may not assign or transfer these Terms. We may assign these Terms without restriction.

21.6 Force Majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.

21.7 Electronic Communications. You consent to receive communications from us electronically and agree that electronic agreements and notices satisfy any legal requirement that they be in writing.
